ZW LLC – Z-AIB®: Terms of Service

1. Scope of Agreement

This Agreement governs access to and use of the Z-AIB® software platform by enterprise, commercial, corporate, institutional and individual/non-commercial customers (“Client”). Acceptance of an Order Form, payment, or platform access constitutes binding agreement.

2. License Grant

ZW LLC grants Client a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Z-AIB® during the paid subscription term. This is a license, not a sale.

3. Subscription & Fees

Subscriptions are seat-based and billed monthly or annually in advance unless otherwise agreed. Login credentials may not be shared. Late payments accrue interest at 1.5% per month or the maximum allowed by law. ZW LLC may suspend access for non-payment.

4. ZW Intellectual Property Protection

All rights, title, and interest in Z-AIB®, including but not limited to source code, algorithms, neural network architectures, optimization frameworks, feature engineering logic, training methodologies, UI/UX designs, documentation, APIs, and platform structure are the exclusive property of ZW LLC and protected by copyright and trade secret laws. Client shall not reverse engineer, decompile, disassemble, replicate, benchmark publicly, or attempt to extract proprietary logic. Any such action constitutes willful infringement.

5. Customer-Created Intellectual Property

Client retains ownership of inventions, formulations, process optimizations, engineering designs, discoveries, patents, trade secrets, and other intellectual property created independently by Client using Z-AIB®, provided such IP does not incorporate or attempt to extract ZW LLC proprietary software components. ZW LLC retains exclusive ownership of all platform-related intellectual property.

6. AI Output Disclaimer

Z-AIB® provides computational predictions based on user inputs. ZW LLC does not guarantee engineering performance, regulatory compliance, or commercial outcomes. Client is solely responsible for validation and implementation decisions.

7. Limitation of Liability

To the maximum extent permitted by law, ZW LLC shall not be liable for indirect, incidental, punitive, or consequential damages. Aggregate liability shall not exceed fees paid by the relevant client in the preceding 12 months.

8. Indemnification

Client agrees to indemnify and hold harmless ZW LLC from claims arising from misuse, illegal data uploads, regulatory violations, or infringement caused by Client inputs.

9. Termination

ZW LLC may suspend or terminate access for breach, non-payment, unauthorized use, or security risks. Upon termination, license rights immediately cease.

10. Arbitration & Venue

Any disputes shall be resolved through binding arbitration in the State of North Carolina, United States, unless ZW LLC seeks injunctive relief for intellectual property violations.

11. Export Compliance

Client agrees to comply with all applicable U.S. export control laws and regulations.

12A. Enterprise/Commercial Privacy Policy (Private Server Installation Model)

For enterprise deployments, Z-AIB® may be installed on Client’s private servers or infrastructure. ZW LLC does not access, monitor, or control Client’s internal systems, data, or activities conducted within Client’s private server environment. ZW is not responsible for Client’s server security.

ZW LLC may collect limited information including:

Business contact information (e.g., name, company, email address)
Account credentials necessary for licensing and authentication
Usage analytics related to licensing validation or system performance (where applicable)
Uploaded datasets only when explicitly submitted to ZW LLC for processing, support, or model assistance

ZW LLC does not sell Client data. Data is used solely for service provision, licensing management, platform improvement, and technical support. Appropriate administrative, technical, and organizational security safeguards are maintained.

12B. Individual/Non-Commercial Privacy Policy (Cloud-Based Access Model)

For individual users, Z-AIB® operates on ZW LLC’s secure cloud infrastructure. User activity, uploaded data, and system interactions are processed and stored on ZW LLC cloud servers.

Data Protection Commitments:

ZW LLC implements industry-standard encryption (HTTPS/TLS) for data transmission.
Secure cloud hosting with access controls and role-based authentication.
Administrative, technical, and organizational safeguards to protect against unauthorized access.
Data is not sold to third parties.
Access to user data is limited to authorized personnel for service provision and technical support.
Users may request deletion of their data upon termination of subscription, subject to legal retention requirements.

ZW LLC may collect the following categories of information:

Business or personal contact information (e.g., name, email address)
Account credentials necessary for authentication and licensing
Usage analytics and system interaction data for performance monitoring and service improvement
Uploaded datasets submitted for processing and AI computation

ZW LLC uses collected data solely for service delivery, account management, security, legal compliance, and platform improvement.

13. Refund & Billing Policy

All enterprise subscriptions are billed annually in advance unless otherwise specified in a signed Order Form or Master Services Agreement.

All individual/non-commercial subscriptions are billed monthly in advance.

Refunds may be issued only under the following circumstances:

Duplicate billing
Documented billing error
Material service failure exceeding fourteen (14) consecutive days directly attributable to ZW LLC

The following is an example, non-comprehensive, list of conditions that are not refundable: partial subscription usage, internal project cancellations, staffing changes, failure to utilize purchased seats, or failure to provide cancellation notice prior to renewal.

Enterprise clients must provide written cancellation notice at least thirty (30) days prior to renewal to avoid automatic renewal.

14. Copyright Notice

Z-AIB® and all related software components, algorithms, neural network architectures, optimization frameworks, source code, UI designs, and documentation are proprietary intellectual property protected under United States and international copyright and trade secret laws. Unauthorized reproduction, reverse engineering, competitive replication, or misuse is strictly prohibited and may result in immediate legal action.
