ZW LLC – Z-AIB® Individual (Non-Commercial) User Agreement

1. Scope

This Agreement governs access to Z-AIB®, a software product owned by ZW LLC, by individual, non-commercial users. Commercial use is strictly prohibited unless a commercial license is purchased. Acceptance of an Order Form, payment, or platform access constitutes binding agreement.

2. License Grant

ZW LLC grants a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use only of the Z-AIB® software product during the paid subscription term. This is a license, not a sale.

3. Subscription & Fees

Subscriptions are seat-based and billed monthly in advance. License and login Credentials may not be shared. Late payments accrue interest at 1.5% per month or the maximum allowed by law. ZW LLC may suspend access for non-payment.

4. Intellectual Property Protection

All Z-AIB® source code, models, algorithms, UI designs, and documentation remain the exclusive property of ZW LLC. Users may not reverse engineer, replicate, distribute, or use outputs to train competing systems.

5. User-Created Content

Users retain ownership of personal intellectual property created using Z-AIB®, excluding any rights in ZW LLC proprietary software.

6. AI Output Disclaimer

Outputs are predictive in nature and provided 'AS IS'. ZW LLC disclaims all warranties, including fitness for a particular purpose.

7. Limitation of Liability

ZW LLC shall not be liable for indirect, incidental, or consequential damages arising from use.

8. Termination

ZW LLC may suspend or terminate accounts for misuse or violation of this Agreement.

9. Arbitration

Disputes shall be resolved via binding arbitration in North Carolina, USA.
